ConsensusDocs Bond Forms Content License Agreement
Solely for NASBP Members, Affiliates and Associates in Good Standing
You are being licensed by the ConsensusDocs to use the ConsensusDocs suite of standardized bond forms (hereinafter “the Forms”) in your regular course of business by virtue of being a member or an affiliate of the National Association of Surety Bond Producers (NASBP). Your download and use of any of the Forms is a representation that your company is currently a member or an affiliate of NASBP in good standing and that you are authorized to accept the terms and conditions of this license on its behalf. If you do not accept these terms and conditions, if you are not an authorized representative, or if you are not a member or an affiliate in good standing of NASBP, you are prohibited from downloading any of the Forms.
As a licensee, you, as a member or an affiliate company of NASBP, have a limited, nonexclusive license to:
- Use any of the Forms on your computer network or on any number of computers owned, leased or rented by your company or organization.
- Use any of the Forms for bona fide agreements in relation to a construction project in your regular business practice.
- Copy any of the Forms on to your computer hard drive or server for backup or modification purposes, as provided herein, in support of your use of the Forms.
As a licensee, you acknowledge and agree:
- To provide the name and contact information, including e-mail address, for one person employed by the NASBP member, affiliate or associate company who shall serve as the authorized point of contact to administer and to oversee compliance with the terms of this license. Should the original contact person no longer be employed by you, within a reasonable time, you must forward to NASBP and to info@consensusdocs.org the name and contact information of a successor contact. The point of contact expressly authorizes NASBP, AGC of America, and ConsensusDocs LLC to communicate directly through phone, fax, mail, or email and as such agrees not to opt out of such communications.
- To use any of the Forms solely in the original PDF format downloaded by you, or as printed outputs from such writable PDF formats, and not in any other formats, including other electronic formats.
- To include and not remove the ConsensusDOCS® marks and copyright notice on all electronic and printed outputs of the Forms. All proprietary rights in the Forms are and shall remain the sole property of ConsensusDocs LLC.
- To not represent that any of the documents you generate from the Forms conform to ConsensusDOCS® bond forms unless: (1) the Forms are used without alteration, except as to those areas of the Forms originally left blank for completion by the user, and (2) any additions and changes to, and deletions from, the Forms are clearly indicated.
- To not use, copy, share, distribute, modify, or transfer any of the Forms, except as expressly provided for in this license. Reproduction and distribution of the Forms for resale or for any other purpose not expressly authorized by this license is strictly prohibited.
- To not sublicense, assign, or transfer this license, in whole or in part. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations hereunder shall be void.
This license is effective until terminated. This license shall terminate automatically as to each ConsensusDocs bond form upon the withdrawal of that bond form from publication to the public by ConsensusDocs LLC, by the publication of document editions that supersede any of the Forms, or if you fail to remain a member or an affiliate in good standing of NASBP. You may terminate this license at any time by destroying the Forms, together with all copies in any form. This license will also terminate upon the conditions set forth elsewhere in this Agreement or if you fail to comply with any term or condition of this Agreement. You agree upon such termination to destroy the Forms, along with all copies in any form, promptly.
YOU ASSUME ALL RESPONSIBILITY FOR YOUR USE OF ANY OF THE FORMS. THE FORMS ARE PROVIDED “AS IS” AND WITH ALL FAULTS. NEITHER ConsensusDocs LLC, AGC OF AMERICA, NASBP, NOR ANY ConsensusDocs ENDORSING ORGANZIATION MAKES ANY REPRESENTATION OR WARRANTY OF ANY KIND WITH RESPECT TO ANY OF THE FORMS, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. NEITHER ConsensusDOCS® LLC, AGC OF AMERICA NOR NASBP REPRESENT OR WARRANT THAT THE FORMS WILL BE ERROR-FREE OR THAT THE INTERNET SITE OR THE SERVER FORM WHICH ANY OF THE FORMS WILL BE DOWNLOADED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PLEASE NOTE THAT SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. IN NO EVENT WILL ConsensusDOCS® LLC, AGC OF AMERICA, NASBP, NOR ANY ConsensusDocs ENDORSING ORGANZIATION BE LIABLE TO YOU FOR ANY DAMAGES, DIRECT OR INDIRECT, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE ANY OF THE FORMS EVEN IF ConsensusDocs LLC, AGC OF AMERICA, NASBP, NOR ANY ConsensusDocs ENDORSING ORGANZIATION HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
You are strongly encouraged to seek the advice of legal counsel before completing or modifying any of the Forms.
ConsensusDocs LLC reserves the right to revise these terms and conditions at any time and without notice.
This license is governed by and construed in accordance with the laws of Virginia without giving effect to any principles of conflicts of laws. If any provision of this license shall be unlawful, void, or unenforceable, then that provision shall be deemed severable from this license and shall not affect the validity or enforceability of the remaining provisions.
This license represents the entire understanding between you, NASBP, and ConsensusDocs LLC and supersedes all prior negotiations and agreements.
